Sagicor Group Jamaica Limited has outlined plans to bring Sagicor Jamaica and Sagicor Life Inc, (SLI), under Sagicor Group Caribbean Limited.
The details are outlined in its Combined Scheme and Extraordinary General Meeting Booklet.
Both are available on Sagicor’s website as well as the Jamaica Stock Exchange, JSE, website.
The first step in the process is a court-approved Scheme of Arrangement, under which Sagicor Caribbean would become the new listed entity.
This would replace Sagicor Jamaica on the JSE.
If approved by shareholders and sanctioned by the Court, Sagicor Jamaica shareholders will receive one Sagicor Caribbean share for each Sagicor Jamaica share held.
Sagicor Caribbean would subsequently acquire SLI, bringing it and Sagicor Jamaica under a common parent.
Chief Executive Officer of the financial services group, Christopher Zacca, says the move is intended to bring together its Caribbean expertise to scale to strengthen its regional impact and create lasting value for shareholders.
Sagicor says two shareholder meetings in hybrid format are set for Wednesday, October 28, 2026.
